1. Introduction

These Terms of Service (“Terms”) govern your use of Bofin.tech and all associated APIs, software, services, and platforms (“Services”) provided by JANGRAS PRIVATE LIMITED (Jangras Corporation) (“Bofin”, “we”, “us”, “our”). By accessing or using our Services, you agree to comply with these Terms. If you do not agree, you must discontinue use immediately.

2. Our Services

Bofin provides technology, infrastructure and APIs enabling financial and digital banking solutions including:

• Payment Infrastructure – UPI, virtual accounts, IMPS/NEFT/RTGS rails, payouts and collections.
• Interchange / Transaction Switching – card switch, wallet switch, and multi-rail transaction processing.
• Digital Banking & Neo-Banking Stack – account onboarding, account lifecycle management, KYC workflows, ledger, transactions and compliance modules.
• Embedded Banking & Fintech Infrastructure – banking, payment, wallet, lending and card services embedded into partner platforms.
• Value-Added Services (VAS) – bill payments, recharges, utilities, FASTag and other service extensions.
• White-Label & Custom Solutions – branded products for enterprises and financial institutions.
• APIs, SDKs and Developer Tools – secure and compliance-ready backend capabilities for fintech applications.

3. Eligibility & Account Obligations

You must be legally competent and authorized to enter into binding agreements to use Bofin Services. You are responsible for safeguarding any access credentials, API keys or tokens issued to you. Any activity carried out through your account or keys will be deemed as authorized by you.

4. Acceptable Use & Restrictions

You agree not to use Bofin Services for:

• Illegal, fraudulent, unauthorized, or high-risk financial activities.
• Money laundering, terror financing, or violation of financial laws.
• Reverse engineering, attempting to hack, bypass, overload, or compromise our systems.
• Providing financial services to third-parties without required approvals or compliance.
• Violating applicable regulations, including RBI, financial, data protection or cybersecurity laws.

5. Intellectual Property Rights

All software, APIs, content, documentation, trademarks, and intellectual property made available by Bofin remain the exclusive property of JANGRAS PRIVATE LIMITED or its licensors. You receive a limited, revocable, non-exclusive license to use our Services strictly as permitted under these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works from our platform.

6. Disclaimer & Limitation of Liability

Bofin Services are provided on an “as-is” and “as available” basis. We make no warranties regarding accuracy, reliability, uptime, merchantability, or fitness for a particular purpose. To the maximum extent permitted by law, Bofin is not liable for indirect, incidental, punitive or consequential damages arising out of your use of the Services.

7. Indemnification

You agree to indemnify, defend and hold harmless Bofin, its directors, employees, partners and affiliates from any claims, liabilities, losses, penalties, damages or expenses arising out of:

• Your use or misuse of the Services.
• Your violation of these Terms.
• Your violation of applicable laws or regulatory obligations.

8. Compliance & Regulatory Responsibilities

You are solely responsible for compliance with all applicable financial, banking, KYC/AML, data protection, privacy and regulatory obligations connected with your use of Bofin Services. If you embed Bofin Services into your own products or offer them to end-customers, you must ensure legal and regulatory compliance at all times.

9. Modifications to Services & Terms

Bofin may modify, upgrade, restrict or discontinue parts of its Services at any time. We may also amend these Terms periodically. The updated version will be posted on Bofin.tech. Continued use after updates constitutes acceptance of the revised Terms.

10. Suspension & Termination

We may suspend or terminate your access to Services if:

• You violate these Terms.
• Your activities pose risk, fraud, or legal concerns.
• You fail to meet compliance, documentation, or onboarding requirements.

Upon termination, all rights and licenses granted to you immediately cease. Certain obligations (indemnification, liability limitations, compliance duties) will survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. All disputes are subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India. Parties agree to attempt amicable resolution before initiating litigation.
